1. Introduction and acceptance

1.1. These Terms of Use (“Terms”) govern your access to and use of the Goasia platform, including the website, applications, and related services (together, the “Platform”), operated by ASIA GLOBAL ELITE LLC (“we”, “us”, “Goasia”).

1.2. The Platform connects travellers (“Clients”) with transport and tour operators (“Companies”) for booking transfers, trips, and city tours, primarily in Uzbekistan. By creating an account, making a booking, or otherwise using the Platform, you agree to be bound by these Terms. If you do not agree, you must not use the Platform.

1.3. These Terms apply in addition to our Privacy Policy. In the event of conflict, these Terms prevail over general descriptions on the site unless otherwise stated.

1.4. The Platform is intended for use in accordance with the laws of the Republic of Uzbekistan. To the extent permitted by law, the laws of the Republic of Uzbekistan govern the interpretation and enforcement of these Terms and any disputes arising from or in connection with the Platform or these Terms.

2. Definitions

“Booking” means a confirmed or pending request for transport or tour services made through the Platform (order and associated order items). “Client” means a user who books transport or tour services as an individual or on behalf of a legal entity. “Company” means a transport or tour operator registered on the Platform that may bid on and fulfil Bookings. “Content” means any data, text, images, or other materials you submit via the Platform (including uploads). “Order” means a booking request created by a Client, which may consist of one or more segments or legs (“order items”). “Services” means the intermediation and technology services we provide via the Platform (including matching Clients with Companies and processing payments), and does not include the actual transport or tour services performed by Companies. “User” means any person or entity that accesses or uses the Platform (including Clients, Companies, and their representatives).

3. Eligibility and account

3.1. You may use the Platform only if you are at least 18 years of age (or the age of full legal capacity in your country of residence, if higher) and have the legal capacity to enter into binding contracts.

3.2. If you use the Platform on behalf of a legal entity, you represent that you are authorised to bind that entity and that the entity agrees to these Terms.

3.3. You must provide accurate, current, and complete information when registering and using the Platform. You are responsible for keeping your account credentials secure and for all activity under your account.

3.4. We may suspend or terminate your access if you breach these Terms or if required by applicable law, including the laws of Uzbekistan.

4. Description of the Platform and role of Goasia

4.1. Goasia operates a technology platform that enables Clients to request and pay for transport and tour services (transfers, trips, city tours) and enables Companies to receive and fulfil those requests. The actual transport or tour is provided by the Company, not by Goasia.

4.2. For Clients, the contract for the transport or tour service is formed between the Client and the Company that is assigned to or selected for the Booking. Goasia acts as an intermediary and payment facilitator. We do not guarantee the availability of any Company or the performance of any transport or tour.

4.3. For Companies, use of the Platform is subject to these Terms and to any separate commercial or onboarding agreement you may have with us. Companies are responsible for their own compliance with Uzbek law (including transport, tourism, tax, and employment regulations).

4.4. The Platform may use an auction or bidding mechanism whereby Companies may submit offers (e.g. price, vehicle, driver) for order items. Assignment of a Booking to a Company may depend on such process and on Client or system acceptance. We do not guarantee that any bid will be accepted or that any Booking will be fulfilled.

5. Bookings and orders

5.1. When you create an Order, you provide route details (pick-up and drop-off or tour parameters), dates, and other information. You are responsible for the accuracy of this information. An Order may comprise one or more segments (order items), each of which may be assigned to a Company.

5.2. A Booking is only confirmed when the applicable order item(s) have been assigned to a Company and, where required, payment has been completed in accordance with the payment terms shown on the Platform. Until then, availability and price are not guaranteed.

5.3. Prices may vary by vehicle class, season, route, and other factors. Specific terms may apply to certain vehicle classes and peak periods, as indicated on the Platform. The final price will be as shown at the time of confirmation or as agreed through the auction/bidding process.

5.4. You may cancel a Booking in accordance with the cancellation options and deadlines shown in the booking flow or in your account. Cancellation may be subject to fees or refund rules as set out in these Terms and in the cancellation/refund policy applicable to your Booking.

5.5. We or a Company may cancel a Booking in cases such as force majeure, breach of these Terms, failure to pay, or where required by law. If a Company cancels, we will use reasonable efforts to help find an alternative where possible; we do not guarantee rebooking or compensation beyond what is stated in our refund policy.

5.6. If a Booking requires payment by a specified time (e.g. “awaiting payment” status) and payment is not completed within that time, we may automatically cancel the Booking and release the order items. Any pending payment authorisation may be released or reversed in accordance with our and the payment provider’s rules.

6. Payments, fees, and refunds

6.1. Payment may be made by card, bank transfer, or via the in-app balance (where available), in the currencies offered on the Platform (e.g. USD, UZS). Payment options may depend on your user type and region.

6.2. Depending on your account type and the type of Booking, payment may be required in advance (prepay), after the service (postpay), or subject to manual approval. You must pay by the due date; failure to pay may result in cancellation and, where applicable, suspension of your account.

6.3. All amounts are as displayed on the Platform at the time of confirmation. You are responsible for any taxes (e.g. VAT, tourist tax) that apply to you under Uzbek or other applicable law, unless we explicitly state that we collect them.

6.4. Refund eligibility and amounts depend on the cancellation timing, the applicable cancellation policy, and the terms of the service provider (Company). Refunds will be processed using the same payment method where possible, within a reasonable period and in accordance with Uzbekistan law and our payment providers’ rules. We may refuse or reduce a refund where we have evidence of fraud, abuse, or breach of these Terms.

6.5. If you dispute a charge, you must contact us promptly. We will cooperate with you and the payment provider to resolve the dispute in accordance with applicable law and our policies.

7. User conduct and prohibited use

7.1. You must use the Platform only for lawful purposes and in accordance with these Terms and with the laws of the Republic of Uzbekistan and any other applicable jurisdiction.

7.2. You must not: provide false or misleading information or impersonate any person or entity; use the Platform for any illegal or unauthorised purpose, or in a way that infringes the rights of others; interfere with or disrupt the Platform, servers, or networks, or circumvent any access or security measures; scrape, harvest, or use automated means to collect data from the Platform without our prior written consent; use the Platform to harm, harass, or endanger any User, driver, or third party; upload Content that is illegal, offensive, defamatory, or that infringes intellectual property or other rights.

7.3. Companies must ensure that their drivers, vehicles, and operations comply with Uzbek law (including transport and tourism regulations) and that they have appropriate licences, insurance, and authorisations. Clients must not use the Services for any purpose that would require the Company or driver to act unlawfully.

7.4. We may suspend or terminate your account and access to the Platform if we reasonably believe you have breached these Terms or applicable law.

8. Content and uploads

8.1. You retain ownership of Content you submit. By submitting Content, you grant us a non-exclusive, royalty-free, worldwide licence to use, store, and process that Content as necessary to operate the Platform, provide support, and comply with law.

8.2. You are solely responsible for your Content. We may remove or refuse to publish Content that we consider to be in breach of these Terms or harmful to the Platform or others. We do not guarantee the security or availability of uploaded files beyond what we state in our policies.

8.3. We may retain and use certain Content as required for legal, safety, or operational reasons, in accordance with our Privacy Policy and applicable law.

9. Intellectual property

9.1. The Platform (including its design, software, text, graphics, and branding) is owned by us or our licensors. You may not copy, modify, distribute, or create derivative works from the Platform or use our trademarks without our prior written consent.

9.2. You may use the Platform only for your personal or internal business use in connection with making or fulfilling Bookings. Any other use requires our written permission.

10. Disclaimers

10.1. The Platform and the Services are provided “as is” and “as available”. To the fullest extent permitted by the laws of the Republic of Uzbekistan, we disclaim all warranties (express or implied), including any implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

10.2. We do not guarantee uninterrupted, error-free, or secure operation of the Platform. We are not responsible for the conduct of Users, Companies, or drivers, or for the quality, safety, or legality of the transport or tour services they provide. Your use of the Platform and any Booking is at your own risk.

10.3. We are not liable for any indirect, incidental, special, consequential, or punitive damages (including loss of profit, data, or goodwill) arising from or in connection with the Platform, the Services, or these Terms, except where such exclusion or limitation is not permitted under Uzbekistan law.

11. Limitation of liability

11.1. Subject to mandatory provisions of the laws of the Republic of Uzbekistan, our total liability to you for any claims arising from or in connection with the Platform, the Services, or these Terms shall not exceed the amount you paid to us (or we received on your behalf) in the twelve (12) months preceding the event giving rise to the claim, or one hundred (100) US dollars, whichever is greater.

11.2. We are not liable for any loss or damage caused by your breach of these Terms, your Content, your use of the transport or tour services, or the acts or omissions of Companies, drivers, or other third parties. Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded or limited under Uzbek law.

12. Indemnity

You agree to indemnify, defend, and hold harmless ASIA GLOBAL ELITE LLC, its affiliates, and their officers, directors, employees, and agents from and against any claims, damages, losses, costs, and expenses (including reasonable legal fees) arising from: (a) your use of the Platform or the Services; (b) your Content or your breach of these Terms; (c) your Bookings or your interaction with Companies, drivers, or other Users; or (d) any violation of applicable law. This indemnity survives termination of your account and these Terms.

13. Changes to the Terms and the Platform

13.1. We may change these Terms from time to time. We will post the updated Terms on the Platform and indicate the date of the last update. If the changes are material, we may notify you by email or by a prominent notice on the Platform where required by law.

13.2. Your continued use of the Platform after the updated Terms are published constitutes your acceptance of the new Terms. If you do not agree, you must stop using the Platform and may close your account.

13.3. We may modify, suspend, or discontinue the Platform or any part of it (including specific features or regions) with reasonable notice where practicable, except where immediate change is necessary for security, legal, or operational reasons.

14. General

14.1. These Terms, together with the Privacy Policy and any additional terms expressly agreed in writing or shown in the booking flow, constitute the entire agreement between you and Goasia regarding the Platform.

14.2. If any provision of these Terms is held to be invalid or unenforceable under the laws of Uzbekistan or otherwise, the remaining provisions will remain in full force and effect.

14.3. Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

14.4. You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations to an affiliate or in connection with a merger, sale, or restructuring.

14.5. These Terms are drafted in English. Any translation is for convenience only. In the event of conflict, the English version prevails unless otherwise required by law.

14.6. These Terms are governed by the laws of the Republic of Uzbekistan. Any dispute arising from or in connection with these Terms or the Platform shall be subject to the exclusive jurisdiction of the courts of the Republic of Uzbekistan, except where mandatory law requires otherwise. You may also have rights under consumer protection laws that cannot be waived by contract.
